By accessing or using the WeCare24 website, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use our Services.
2. Description of Services
WeCare24 provides AI-powered Behavioral Health Integration (BHI) solutions designed to support healthcare providers in extending behavioral health care between clinical visits. Our platform includes AI-driven patient engagement, symptom monitoring, medication adherence support, care coordination tools, and EHR documentation assistance.
3. Eligibility
Our Services are intended for licensed healthcare providers, healthcare organizations, and their authorized representatives. You must be at least 18 years of age and have the legal capacity to enter into binding agreements. Use of our Services by individuals or entities not authorized to provide or coordinate healthcare services is prohibited.
4. Account Registration
Certain features of our Services require account registration. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@wecare24.health if you suspect unauthorized access.
5. Permitted Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable federal, state, or local laws or regulations
- Transmit any unauthorized advertising, spam, or solicitation
- Attempt to gain unauthorized access to any part of the Services or related systems
- Reverse engineer, decompile, or disassemble any portion of the platform
- Use the Services to provide false, misleading, or fraudulent information

6. Healthcare Disclaimer
WeCare24's platform is a technology tool designed to support — not replace — licensed healthcare professionals. Nothing in our Services constitutes medical advice, diagnosis, or treatment. All clinical decisions remain the sole responsibility of the licensed provider. WeCare24 is not a covered entity under HIPAA but may act as a Business Associate when handling PHI on behalf of covered entities.
7. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, and AI models — are the exclusive property of WeCare24, Inc. and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's proprietary information and not to disclose such information to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms.
9. Limitation of Liability
To the fullest extent permitted by law, WeCare24 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services. Our total liability for any claim arising under these Terms shall not exceed the amounts paid by you to WeCare24 in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless WeCare24 and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
11. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
13. Changes to Terms
We may revise these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, notifying registered users. Continued use of the Services after changes constitutes acceptance of the revised Terms.
